Presenter's Biography:

Eliot Simpson is a Partner and Practice Group Head of the Dispute Resolution practice in Hong Kong. He has been admitted to practice in England and Wales (1992), the Cayman Islands (2000), Jersey (2008) and BVI (2008). He has extensive experience in all areas of commercial litigation and corporate insolvency, including corporate disputes, fund disputes, shareholder disputes, trust and estate litigation, the enforcement of judgments and arbitration awards, and corporate bankruptcy, insolvency and restructuring. Eliot received praise from clients in Chambers Global 2012 for being 'a very experienced practitioner and a very bright individual.' He was listed by Benchmark Asia-Pacific 2014 as a Hong Kong local disputes star. He has been a regular contributor to a number of publications including Getting the Deal Through, and Dispute Resolution Review. Eliot is the author of the BVI chapter of Greene on Shareholder Claims (Jordans 2012).

Vincent Chan is a Counsel in both the Corporate and the Private Client & Trusts departments of Appleby's Hong Kong office. He has over 10 years of offshore law experience in the areas of capital markets (with a strong focus on private and public offerings of debt and equity, public and private mergers & acquisitions, private equity and restructuring), banking & asset finance, as well as private client & trusts. His clients include Bermuda, the British Virgin Islands and Cayman Islands entities, many of which are listed on the Hong Kong Stock Exchange, the Singapore Stock Exchange, the Taiwan Stock Exchange, the Taiwan's GreTai Securities Market, the NASDAQ, the London Stock Exchange and the London's Alternative Investment Market, as well as private companies, banks, financial institutions, asset management firms, high net worth individuals, family offices and trustees. Vincent regularly publishes articles and gives presentations on developments in the areas of mergers & acquisitions, capital markets, private equity and trusts.

Stuart Jessup is a Senior Associate in the Dispute Resolution department of Appleby's Hong Kong office. He has been admitted to practise in Australia, England and Wales and BVI. He advises clients throughout Asia on the department's core areas of focus: shareholder, fund and trust disputes and restructuring and insolvency. He is also a member of the firm's Merger Disputes practice group. Stuart regularly publishes articles and gives presentations on developments in the law of BVI, the Cayman Islands and Bermuda.
 
Objective:

This seminar will discuss some of the issues faced when conducting due diligence on companies incorporated in the Cayman Islands, Bermuda and the British Virgin Islands, as well as the offshore law requirements for a private acquisition, a tender offer & compulsory acquisition/redemption, a merger, and a scheme of arrangement involving one or more of these companies.
