Presenter's Biography:

Teresa Tham is a qualified lawyer of Hong Kong, England and Wales and Singapore. Currently, a Consultant in David Lo & Partners and an Independent Non-Executive Director of Eagle Nice Group (stock code 2368), she has more than 25 years of experience in corporate finance and the commercial and banking fields, covering an array of corporate projects in acquisitions and mergers, restructuring, tax advisory, arbitration, administrative review proceedings and settlement negotiations with governments and private parties, and company secretarial work. Teresa is also Legal Adviser / Consultant to a special purpose company listed under Nasdaq.

Teresa was Head of Legal of K Wah Construction Materials Limited (now known as Galaxy Entertainment Group - Hong Kong Main Board Stock Code: 27) from 1998 to 2007 and thereafter, Legal Counsel and Senior Vice President of Symphony Holdings Limited (Hong Kong Main Board Stock Code: 1223) until 2015.

A deluge of information including commercial secrets may be exchanged before an M&A transaction can be agreed upon. A buyer needs the "big picture" to assess the viability of the target whereas the seller may be hesitant to "open the kimono" unless it is certain of the genuine interest of buyer.

In M & A, "commercial secrets" may not necessarily be what a business relies on for its value on not being generally known and which give that business a competitive edge over its rivals. Commercial secrecy may shroud around the ownership structure of seller or it may involve proprietary information constituting an entire business. Such information may or may not be relevant in the assessment of the price tag of the M&A transaction; however, it will affect the genesis of the transaction including how the M&A is to be structured.
